EUDoctor platform
Effective date: 11.02.2026. 11:32
Last updated: 25.03.2026. 20:18

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Crotech Ltd., a company incorporated under the laws of Malta, with its registered address at HORECA Building, 3rd Floor, Triq L-Imgarr, Xewkija, Għawdex, XWK 9012, Malta, operating under the brand EUDoctor (“EUDoctor”, “we”, “us”, or “our”).

These Terms govern your access to and use of the EUDoctor digital platform, including the website, web application, mobile applications, and all related services (collectively, the “Platform”).

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Nature of the Platform and EUDoctor’s Role

EUDoctor operates a digital technology platform designed to facilitate access to independent, licensed healthcare professionals.

EUDoctor’s role is strictly limited to:

  • Providing digital infrastructure and technical tools
  • Enabling appointment booking and secure communication
  • Facilitating payment processing and administrative workflows

EUDoctor does not:

  • Provide healthcare services
  • Offer medical advice, diagnosis, or treatment
  • Prescribe medication
  • Employ, supervise, or control healthcare providers
  • Participate in or influence medical decision-making

All medical services available through the Platform are provided exclusively by independent healthcare professionals acting in their own professional capacity.

Nothing in these Terms shall be construed as creating any partnership, agency, employment, joint venture, or joint controller relationship between EUDoctor and any healthcare provider.

2. Eligibility and User Representations

The Platform is intended solely for individuals who are at least 18 years of age and legally capable of entering into binding agreements under applicable law.

By accessing or using the Platform, you represent, warrant, and confirm that:

  • you are at least 18 years old and have full legal capacity to enter into these Terms
  • you are using the Platform solely for your own personal use and not on behalf of another individual without lawful authority
  • all information provided by you, including personal, contact, and health-related information, is true, accurate, current, and complete
  • you will promptly update your information where any changes occur
  • you are located within the European Union at the time of using the Platform and are not accessing the Platform in violation of applicable geographic or regulatory restrictions

You acknowledge and agree that healthcare services provided through the Platform rely on the accuracy and completeness of the information you provide. EUDoctor and healthcare providers shall not be responsible for consequences arising from inaccurate, incomplete, or misleading information supplied by you.

EUDoctor reserves the right, at its sole discretion, to verify eligibility information, to refuse access to the Platform, or to suspend or terminate any account where eligibility requirements are not met, representations are inaccurate or misleading, or continued access would create legal, regulatory, or security risk.

3. Geographic Scope and Differentiation of Services

The Platform facilitates access to different categories of professional services, which are subject to distinct legal, regulatory, and geographic limitations depending on the nature of the service provided.

3.1 Medical Services (Physicians)

Medical consultations provided through the Platform by licensed physicians are available exclusively to users who are physically located within the European Union at the time of accessing and using the Platform.

Such services are subject to applicable healthcare, licensing, and cross-border telemedicine regulations. EUDoctor does not represent or warrant that medical services, prescriptions, referrals, or medical documentation are lawful, valid, recognised, or enforceable outside the European Union.

By booking or participating in a medical consultation, you represent and warrant that you are located within the European Union and that your use of the Platform complies with all applicable laws and regulations.

Accessing or using medical services from outside the European Union, or attempting to circumvent geographic or regulatory restrictions (including through the use of VPNs, proxy services, or similar tools), is prohibited and may result in suspension or termination of access.

EUDoctor shall not be responsible or liable for any consequences arising from the use of medical services outside the permitted geographic scope, including regulatory non-compliance, invalidation of prescriptions, refusal of services by third parties, or financial loss.

3.2 Psychological Services (Counselling and Mental Well-Being Support)

Psychological services available through the Platform, including psychological counselling, therapy, or mental well-being support, may be offered to users located outside the European Union, subject to applicable local laws, professional standards, and service availability.

Psychological services provided through the Platform are non-medical in nature and do not constitute:

  • Medical diagnosis
  • Psychiatric treatment
  • Prescription of medication
  • Emergency or crisis intervention
  • A substitute for medical or psychiatric care

Psychological service providers act as independent professionals and are solely responsible for ensuring that their services are provided in compliance with applicable laws, professional licensing requirements, and ethical standards in the jurisdictions where they operate.

EUDoctor does not guarantee that psychological services are permitted, recognised, or regulated in the same manner across all jurisdictions and shall not be responsible for legal or regulatory consequences arising from the user’s location or local legal framework.

3.3 User Responsibility and Service Selection

Users acknowledge and agree that:

  • Different services available on the Platform are subject to different geographic and regulatory limitations
  • It is the user’s responsibility to select the appropriate service category
  • Eligibility, availability, and legality of services may vary depending on the type of service and user location.

EUDoctor reserves the right to restrict, modify, or discontinue access to specific services in certain jurisdictions in order to comply with applicable legal or regulatory requirements.

4. Account Registration and Security Obligations

Certain features of the Platform require the creation of a user account. Each user account is intended for use by one individual only and may not be shared with any other person.

By creating, accessing, or maintaining an account on the Platform, you acknowledge and agree that you are solely responsible for:

  • Safeguarding the confidentiality of your login credentials, including usernames, passwords, and any authentication factors
  • All activities, actions, and transactions conducted through your account, whether authorised by you or not
  • Ensuring the security of the devices, networks, and email accounts used to access the Platform
  • Promptly notifying EUDoctor of any unauthorised access, suspected compromise, or security breach relating to your account.

You must not share your account credentials with any third party, permit access by unauthorised persons, or use another user’s account. Any such activity constitutes a material breach of these Terms.

Each individual is permitted to create and maintain one user account only, unless explicitly authorised by EUDoctor in writing. The creation, use, or attempted use of multiple user accounts by the same individual, including for the purpose of circumventing Platform rules, access restrictions, pricing, refunds, security controls, or other limitations, constitutes a material breach of these Terms.

EUDoctor reserves the right to implement reasonable technical and organisational measures to detect, prevent, and investigate misuse of accounts, including multiple account usage, fraud, or security risks, in accordance with applicable data protection laws.

Where EUDoctor identifies or reasonably suspects that one or more accounts are associated with the same individual, EUDoctor may, at its sole discretion and without prior notice or liability:

  • Suspend, restrict, or terminate one or more related accounts
  • Require credential resets or additional verification
  • Merge accounts where appropriate
  • Restrict access to certain Platform features
  • Withhold, reverse, or deny refunds or benefits obtained through misuse
  • Take any other proportionate measures necessary to protect the Platform, users, healthcare providers, or legal compliance.

You acknowledge that while EUDoctor implements reasonable security measures, no system can be guaranteed to be entirely secure. EUDoctor does not guarantee that unauthorised access, cyber incidents, or data breaches will never occur and shall not be liable for losses, damages, or consequences arising from unauthorised account access resulting from your failure to comply with these security obligations or from circumstances beyond EUDoctor’s reasonable control.

EUDoctor reserves the right to suspend, restrict, or terminate access to the Platform where continued access would create legal, regulatory, security, or operational risk, or where these Terms are violated.

5. Healthcare Providers and Medical Responsibility

Healthcare providers available through the Platform are independent, licensed medical professionals who provide medical services in their own name and under their own professional and legal responsibility.

EUDoctor does not employ, supervise, direct, control, or manage healthcare providers and does not influence or interfere with their clinical judgment, professional decision-making, or standards of care.

Healthcare providers are solely and exclusively responsible for:

  • Determining whether a consultation is appropriate
  • Assessing the information provided by the user
  • Making medical decisions, diagnoses, and treatment recommendations
  • Issuing prescriptions, referrals, sick notes, or other medical documentation
  • Ensuring compliance with applicable healthcare laws, licensing requirements, and professional standards

EUDoctor may perform limited administrative verification of healthcare provider credentials for onboarding purposes only. Such verification does not constitute professional validation, supervision, endorsement, or assessment of clinical competence.

EUDoctor does not verify, validate, endorse, or guarantee the accuracy, quality, suitability, or outcome of any medical advice, diagnosis, treatment, prescription, or documentation provided by healthcare providers through the Platform.

Users acknowledge and agree that medical services provided through the Platform are based on the information they choose to disclose and that incomplete, inaccurate, or misleading information may affect the quality or appropriateness of medical advice. EUDoctor shall not be responsible or liable for consequences arising from such information.

Nothing in these Terms shall be construed as creating any partnership, agency, employment, joint venture, or joint controller relationship between EUDoctor and any healthcare provider. Healthcare providers act as independent service providers and retain full responsibility for their professional conduct and services.

To the maximum extent permitted by applicable law, EUDoctor disclaims all liability arising from or related to the provision of medical services by healthcare providers, except where such liability cannot be lawfully excluded.

6. Emergency Disclaimer

The Platform is not intended for use in medical emergencies or urgent medical situations and does not constitute a substitute for emergency or in-person medical services.

EUDoctor does not provide emergency medical services, does not monitor users for emergency conditions, and is not equipped to respond to situations requiring immediate medical attention, urgent intervention, or life-saving treatment.

If you believe that you or another person may be experiencing a medical emergency or urgent condition, you must immediately contact local emergency services by calling 112 or seek appropriate emergency medical care through local emergency facilities.

Examples of emergency situations include, but are not limited to:

  • Difficulty breathing
  • Severe or uncontrolled bleeding
  • Chest pain or suspected heart attack
  • Loss of consciousness
  • Seizures, acute confusion, or stroke symptoms
  • Any condition requiring immediate medical intervention.

You acknowledge and agree that using the Platform in an emergency or urgent situation is inappropriate and may result in delayed care. To the maximum extent permitted by applicable law, EUDoctor shall not be liable for any harm, damage, or consequences arising from the use of the Platform in circumstances requiring emergency medical assistance.

Independent healthcare providers available through the Platform reserve the right, at their sole professional discretion, to refuse, limit, or discontinue consultations where an emergency or urgent situation is identified and may instruct you to contact emergency services immediately.

If you choose to continue using the Platform despite this warning, you do so at your own risk.

7. Consultations and Platform Functionality

The Platform provides digital tools that enable users to request, schedule, and conduct remote consultations with independent healthcare providers.

The EUDoctor's role in relation to consultations is strictly limited to providing the technical and administrative infrastructure necessary to facilitate communication and appointment management. EUDoctor does not participate in, supervise, or influence the substance, duration, content, or outcome of any consultation.

Through the Platform, users may:

  • Book and manage consultation appointments, subject to provider availability;
  • Communicate with healthcare providers using the digital communication tools made available by the Platform;
  • Access consultation-related information, records, or documentation where applicable and permitted by law.

EUDoctor does not guarantee:

  • The availability of any specific healthcare provider or appointment time
  • That a consultation will result in a diagnosis, treatment, prescription, referral, or other specific medical outcome
  • That consultations will be suitable for every medical concern
  • Uninterrupted, error-free, or continuous access to the Platform or its features.

Consultations may be affected, delayed, interrupted, rescheduled, or cancelled due to:

  • Healthcare provider availability or professional judgment
  • Technical issues, connectivity problems, or system maintenance
  • User-related factors, including late attendance or connection failure
  • External factors beyond EUDoctor’s reasonable control

You acknowledge and agree that the Platform is dependent on internet connectivity, third-party infrastructure, and user equipment, and that technical limitations may affect the quality, timing, or continuity of consultations. EUDoctor shall not be liable for disruptions, delays, or failures arising from such factors, except where required by applicable law.

Healthcare providers reserve the right to refuse, discontinue, or reschedule consultations where, in their professional judgment, a consultation is inappropriate, incomplete, unsafe, or requires in-person assessment or emergency care.

8. Recording and Confidentiality of Consultations

Consultations conducted through the Platform are confidential and are intended solely for private communication between the user and the independent healthcare provider.

Users and healthcare providers are strictly prohibited from recording, storing, reproducing, transmitting, distributing, publishing, or otherwise capturing any part of a consultation conducted through the Platform, including but not limited to audio recordings, video recordings, screen captures, photographs, transcripts, or similar content, without the prior explicit written consent of all parties involved.

This prohibition applies regardless of the technical means used and includes recording through external devices, third-party software, or any other method not provided or authorised by the Platform.

Unauthorised recording, storage, or dissemination of consultation content may constitute:

  • A breach of confidentiality and professional secrecy obligations
  • A violation of applicable data protection laws
  • An infringement of the rights of healthcare providers and users

Users acknowledge and agree that EUDoctor does not authorise, endorse, or facilitate the recording of consultations and shall not be responsible or liable for unauthorised recordings made by users or healthcare providers outside the Platform’s technical controls.

EUDoctor reserves the right, at its sole discretion, to take appropriate measures in response to suspected or confirmed unauthorised recording or disclosure, including:

  • Suspension or termination of access to the Platform
  • Restriction of Platform features
  • Preservation of relevant logs or evidence
  • Cooperation with competent authorities, regulatory bodies, or courts where required by law or where necessary to protect legal rights, safety, or compliance obligations

Nothing in this section limits the rights or obligations of healthcare providers arising from applicable professional secrecy, ethical duties, or statutory confidentiality requirements.

9. Payments, Fees, and Refunds

Payments for consultations and related services made available through the Platform are processed via authorised third-party payment service providers, including Stripe.

For the avoidance of doubt, healthcare providers remain the sellers of medical services provided through the Platform, while EUDoctor acts solely as a payment facilitation and platform service provider and does not sell or provide medical services.

EUDoctor facilitates the collection and processing of payments as a payment agent on behalf of independent healthcare providers, in accordance with applicable laws and contractual arrangements. The healthcare provider is the party providing the medical service, while EUDoctor receives a platform service fee for facilitating access, technology, and administrative support.

Prices, applicable fees, and any additional charges are clearly displayed to users prior to payment confirmation. By completing a payment, you authorise EUDoctor and its payment service providers to charge the selected payment method for the applicable amounts.

9.1 Fees and Charges

Consultation fees are determined by healthcare providers or in accordance with agreed pricing structures and may vary depending on the type of service offered.

EUDoctor reserves the right to modify platform fees or service-related charges from time to time, subject to prior notice where required by applicable law. Changes shall not affect payments already completed.

All prices are exclusive of any taxes, duties, or charges that may apply unless explicitly stated otherwise.

9.2 Refunds and Cancellations

Refunds may be issued only in the following circumstances:

  • A consultation is cancelled in accordance with the Platform’s cancellation rules
  • A consultation cannot be delivered due to a verified technical failure attributable to the Platform
  • A refund is required under applicable consumer protection laws

No refunds shall be issued for:

  • Completed consultations
  • Dissatisfaction with medical advice or outcomes
  • Failure to attend a scheduled consultation without timely cancellation
  • Circumstances arising from user-side technical issues, including connectivity problems or incompatible devices

Where a refund is granted, it shall be processed using the original payment method where possible and in accordance with the rules of the applicable payment service provider.

9.3 Chargebacks and Payment Disputes

All chargebacks, reversals, or payment disputes are handled in accordance with the rules and procedures of the relevant payment service provider.

Users are encouraged to contact EUDoctor support prior to initiating a chargeback. Unjustified or abusive chargebacks may result in account restrictions or suspension.

EUDoctor is not responsible for delays, failures, reversals, or decisions made by third-party payment service providers and shall not be liable for consequences arising from payment provider actions beyond its reasonable control.

9.4 No Guarantee of Medical Outcome

Payment for a consultation does not guarantee a specific medical outcome, diagnosis, prescription, referral, or treatment. Fees are charged for access to professional time and consultation services, not for a particular result.

Refunds shall not be issued based on dissatisfaction with medical advice or professional judgment provided during a consultation.

9.5 Fraud Prevention and Payment Integrity

EUDoctor reserves the right to implement reasonable measures to prevent fraud, abuse, multiple account misuse, or payment irregularities.

Where fraud, misuse, or violation of these Terms is suspected, EUDoctor may:

  • Suspend or terminate user accounts
  • Withhold or reverse refunds
  • Restrict access to payment features
  • Cooperate with payment service providers and competent authorities where required

10. User Conduct and Acceptable Use

You agree to access and use the Platform lawfully, responsibly, and in accordance with these Terms, applicable laws, and professional standards.

You must not, directly or indirectly:

  • Engage in abusive, threatening, harassing, discriminatory, or offensive behaviour towards healthcare providers, EUDoctor personnel, or other users
  • Provide false, misleading, incomplete, or inaccurate information, including personal, contact, health, or payment-related information
  • Misuse medical services, including seeking services for unlawful purposes, non-medical objectives, or in a manner inconsistent with professional healthcare standards
  • Attempt to obtain prescriptions, documentation, refunds, or benefits through deception, misrepresentation, or abuse of the Platform;
  • Interfere with, disrupt, or attempt to compromise the security, integrity, or proper functioning of the Platform, including its systems, networks, or data
  • Attempt to bypass safeguards, access controls, geographic restrictions, payment mechanisms, or security measures implemented by the Platform
  • Use the Platform for any unlawful, fraudulent, or unauthorised purpose
  • Upload, transmit, or share content that infringes the rights of others, violates confidentiality or privacy, or breaches applicable laws or regulations.

You acknowledge that inappropriate or abusive conduct may interfere with the ability of healthcare providers to deliver services safely and professionally.

EUDoctor reserves the right, at its sole discretion, to monitor, investigate, and take appropriate action in response to prohibited conduct, including without limitation:

  • Suspension or termination of access to the Platform
  • Restriction of specific features or services
  • Cancellation of appointments
  • Withholding or denial of refunds
  • Reporting suspected unlawful activity to competent authorities where required by law or necessary to protect legal rights, safety, or compliance obligations.

EUDoctor shall not be liable for consequences arising from enforcement actions taken in response to violations of this section, except where such liability cannot be excluded by applicable law.

11. Intellectual Property Rights

All intellectual property rights in and to the Platform, including but not limited to software, source code, databases, user interfaces, designs, trademarks, service marks, logos, text, graphics, audiovisual content, and documentation (collectively, the “Platform Content”), are owned by or licensed to EUDoctor and are protected by applicable intellectual property laws.

Except for the limited licence expressly granted under these Terms, nothing shall be construed as transferring or granting any rights, title, or interest in the Platform or Platform Content to you.

11.1 Licence to Use the Platform

Subject to your compliance with these Terms, EUDoctor grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for your personal, lawful, and non-commercial purposes.

You must not, directly or indirectly:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or Platform Content
  • Distribute, publish, transmit, sell, license, or otherwise exploit the Platform or Platform Content
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform, except where expressly permitted by applicable law
  • Access or use the Platform for the purpose of developing, operating, or supporting a competing product or service
  • Scrape, harvest, or extract data or content from the Platform through automated or manual means without prior written consent

11.2 User-Provided Content

To the extent that you submit or upload any content to the Platform, including information, text, messages, or materials (“User Content”), you represent and warrant that you have the necessary rights to provide such content and that it does not infringe the rights of any third party.

You grant EUDoctor a limited, non-exclusive licence to use, host, store, process, and display User Content solely for the purpose of operating, maintaining, and improving the Platform, in accordance with these Terms and the Privacy Policy.

EUDoctor does not claim ownership of User Content and processes such content only as necessary to provide Platform services.

11.3 Medical Records and Professional Content

Medical records, consultation notes, prescriptions, and other medical documentation generated by healthcare providers during consultations remain under the professional responsibility of the relevant healthcare provider and are subject to applicable healthcare and data protection laws.

Nothing in these Terms grants users any right to modify, reproduce, or commercially exploit medical documentation beyond personal use permitted by law.

11.4 Enforcement of Intellectual Property Rights

Any unauthorised use of the Platform or Platform Content constitutes a violation of these Terms and may result in suspension or termination of access.

EUDoctor reserves the right to pursue all available legal remedies, including injunctive relief and damages, in the event of infringement of its intellectual property rights or those of its licensors.

12. Data Protection and Privacy

EUDoctor processes personal data in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR) and relevant national implementing legislation.

Details regarding the collection, use, storage, and protection of personal data are set out in the Privacy Policy, which forms an integral and binding part of these Terms. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

12.1 Roles and Responsibilities

For the purposes of applicable data protection laws:

  • EUDoctor acts as a data controller in relation to personal data processed for the operation, administration, security, and improvement of the Platform, including user account management, payment facilitation, customer support, and compliance obligations.
  • Healthcare providers act as independent data controllers in relation to medical and health-related personal data processed in the course of providing medical consultations, including consultation notes, diagnoses, prescriptions, and medical documentation.

EUDoctor does not determine the purposes or means of medical decision-making and does not exercise control over the processing of medical data performed by healthcare providers in their professional capacity.

EUDoctor does not act as a joint controller with healthcare providers in respect of medical decision-making or clinical data processing performed within the scope of professional medical services.

12.2 Processing on Behalf of Healthcare Providers

To the extent that EUDoctor processes medical or health-related data on behalf of healthcare providers for technical or administrative purposes (such as secure storage, transmission, or access enablement), such processing is carried out solely in accordance with the instructions of the relevant healthcare provider and subject to appropriate contractual and technical safeguards.

12.3 Data Subject Rights

Users may exercise their data protection rights, including rights of access, rectification, erasure, restriction, portability, and objection, in accordance with the procedures described in the Privacy Policy.

Requests relating to medical data may need to be directed to the relevant healthcare provider, depending on the nature of the request and the applicable data controller role.

12.4 Limitation of Responsibility

EUDoctor shall not be responsible or liable for the independent data processing activities of healthcare providers conducted in accordance with their professional obligations and applicable laws, except where such responsibility cannot be lawfully excluded.

13. Service Modifications and Availability

EUDoctor may, at its sole discretion, modify, update, suspend, restrict, or discontinue any part of the Platform, its features, or services, whether temporarily or permanently, for operational, technical, security, legal, regulatory, or business reasons.

Such modifications may include, without limitation:

  • Changes to Platform functionality or user interfaces
  • Updates, maintenance, or upgrades
  • Suspension of specific features or services
  • Changes required to comply with applicable laws or regulatory guidance
  • Limitations arising from third-party service providers or infrastructure.

EUDoctor does not guarantee that the Platform, or any part thereof, will be available at all times, uninterrupted, or free from errors. Access to the Platform may be affected by scheduled maintenance, emergency maintenance, technical failures, network or connectivity issues, security incidents, or factors beyond EUDoctor’s reasonable control.

You acknowledge that the operation of the Platform depends on third-party technologies, infrastructure, and service providers, including hosting, telecommunications, and payment service providers, and that EUDoctor shall not be responsible for unavailability, delays, or failures caused by such third parties.

EUDoctor shall not be liable for any loss, damage, or inconvenience arising from the modification, suspension, or unavailability of the Platform or any part thereof, except where such liability cannot be excluded or limited under mandatory applicable law.

Where reasonably practicable, EUDoctor may provide notice of material changes or planned interruptions; however, EUDoctor is not obligated to provide advance notice in cases of emergency, security risks, or legal compliance requirements.

14. Limitation of Liability

To the maximum extent permitted by applicable law, EUDoctor’s liability is limited as set out in this section.

14.1 Excluded Liability

EUDoctor shall not be liable for any loss, damage, injury, or harm arising from or related to:

  • Medical advice, diagnosis, treatment, prescriptions, referrals, sick notes, or other healthcare services provided by independent healthcare providers
  • Acts, omissions, negligence, malpractice, professional judgment, or misconduct of healthcare providers
  • Decisions, actions, or reliance by users based on medical advice or professional opinions received through the Platform
  • Dissatisfaction with medical outcomes, diagnoses, treatment recommendations, or professional opinions
  • Interruptions, delays, errors, or failures in consultations caused by technical issues, connectivity problems, user equipment, third-party services, or factors beyond EUDoctor’s reasonable control
  • Unauthorised access to user accounts resulting from the user’s failure to comply with account security obligations
  • Indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of profits, loss of business, loss of opportunity, or reputational harm.

14.2 Platform Provided “As Is”

The Platform is provided on an “as is” and “as available” basis.

EUDoctor makes no representations or warranties that the Platform will:

  • Meet specific user expectations
  • Be uninterrupted, timely, secure, or error-free
  • Be suitable for any particular purpose beyond facilitating access to independent healthcare providers

EUDoctor does not guarantee that use of the Platform will result in any specific medical outcome or benefit.

14.3 Limitation of Financial Liability

To the extent that EUDoctor is found liable for any claim arising out of or in connection with the use of the Platform, EUDoctor’s total aggregate liability shall be limited to the total amount actually paid by the user to EUDoctor for the specific service giving rise to the claim.

This limitation applies regardless of the legal basis of the claim, including contract, tort, negligence, or otherwise.

14.4 Mandatory Consumer Rights

Nothing in these Terms shall exclude or limit EUDoctor’s liability where such exclusion or limitation is prohibited by applicable law, including but not limited to liability for:

  • Death or personal injury directly caused by EUDoctor’s own gross negligence or wilful misconduct in the operation of the Platform, expressly excluding any death or personal injury arising from medical services provided by independent healthcare providers;
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be lawfully excluded or limited under mandatory consumer protection laws

14.5 Allocation of Risk

You acknowledge and agree that the limitations of liability set out in these Terms constitute a reasonable and fair allocation of risk between you and EUDoctor, taking into account:

  • The nature of the Platform as a digital intermediary
  • The role of independent healthcare providers as the sole providers of medical services;
  • The fees charged for access to the Platform
  • The availability of alternative healthcare service providers

15. Indemnification

You agree to indemnify, defend, and hold harmless EUDoctor, its directors, officers, employees, contractors, and affiliates from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform in violation of these Terms or applicable laws
  • Your misuse of the Platform, including abusive behaviour, fraud, or circumvention of Platform safeguards
  • Any false, misleading, or incomplete information provided by you, including personal, health, or payment-related information
  • Your unauthorised recording, disclosure, or misuse of consultation content or medical information
  • Your infringement of intellectual property rights, privacy rights, or other rights of third parties
  • Your unlawful conduct or acts that cause harm to EUDoctor, healthcare providers, or other users.

This indemnification obligation applies only to the extent that claims arise from your actions or omissions and does not apply where such claims are directly caused by EUDoctor’s own gross negligence or wilful misconduct.

EUDoctor reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification. In such a case, you agree to cooperate reasonably with EUDoctor in the defence of the claim.

Nothing in this section shall be interpreted as requiring indemnification by users in circumstances where such obligation would be prohibited or unenforceable under applicable consumer protection laws.

16. Suspension and Termination

EUDoctor may, at its sole discretion, suspend, restrict, or terminate your access to the Platform, in whole or in part, with or without prior notice, where one or more of the following circumstances apply:

  • You violate these Terms, the Privacy Policy, or other applicable Platform policies
  • You engage in abusive, fraudulent, unlawful, or inappropriate conduct
  • There is a suspected or actual security incident, data protection risk, or misuse of the Platform
  • Required to comply with applicable laws, regulatory obligations, court orders, or instructions from competent authorities
  • Continued access poses a legal, operational, reputational, or compliance risk to EUDoctor, healthcare providers, or other users.

Suspension or termination may include, without limitation:

  • Disabling or restricting access to user accounts
  • Cancellation of scheduled consultations
  • Restriction of access to specific features or services
  • Blocking of future use of the Platform.

Where reasonably practicable, EUDoctor may provide notice of suspension or termination and the reasons thereof. However, EUDoctor is not obligated to provide advance notice where immediate action is required for security, legal, regulatory, or compliance reasons.

Termination of access does not affect:

  • Rights or obligations accrued prior to termination
  • Outstanding payment obligations
  • The validity of provisions which by their nature are intended to survive termination, including limitation of liability, indemnification, intellectual property, data protection, and dispute resolution provisions.

EUDoctor shall not be liable for any loss or damage resulting from suspension or termination carried out in accordance with this section, except where such liability cannot be excluded under mandatory applicable law.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malta.

Subject to mandatory consumer protection laws, any dispute, claim, or legal proceeding arising out of or in connection with these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Malta.

Nothing in this section shall limit or deprive users of rights or protections granted under mandatory consumer protection laws, including the right to bring proceedings before the courts of their place of residence where such rights cannot be contractually waived.

18. Amendments to the Terms

EUDoctor may update or amend these Terms from time to time to reflect changes in the Platform, applicable laws, regulatory requirements, or business operations.

Where changes are material, EUDoctor will take reasonable steps to notify users, including through the Platform, by email, or by other appropriate means.

Unless otherwise required by applicable law, amended Terms shall become effective on the date specified in the notice. Continued access to or use of the Platform after the effective date of the updated Terms constitutes acceptance of the amended Terms.

If you do not agree with the updated Terms, you must discontinue use of the Platform prior to the effective date of the changes.

19. Communications

Official communications and notices relating to the Platform, these Terms, or your use of the services may be provided by EUDoctor through one or more of the following means:

  • Email sent to the address associated with your user account
  • Notifications displayed within the Platform or user account interface
  • Notices published on the EUDoctor website or Platform.

You are responsible for ensuring that your contact information, including your email address, is accurate, current, and accessible at all times.

Communications shall be deemed delivered when sent or made available through the above channels, except where applicable law requires a different standard.

EUDoctor shall not be responsible for missed communications resulting from outdated contact information, spam filtering, or user failure to check messages or notifications.

20. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a competent court or authority, such provision shall be deemed severed from these Terms to the extent necessary, and the remaining provisions shall remain in full force and effect.

Where possible, the invalid or unenforceable provision shall be interpreted or replaced in a manner that most closely reflects the original intent of the provision, to the extent permitted by applicable law.
